By confirming the quotation provided, you agree to have read and accepted these Terms & Conditions, which surpass any and all previous discussions and/or agreements between the parties. COQUI-COQUI SPA SA DE CV reserves the right to amend these Terms & Conditions at all times at its discretion:                                                                                                                                        

1-Client Information & Communication

Privacy Policy
Your personal data, which you may delete or correct at all times, are strictly confidential to COQUI-COQUI SPA SA DE CV. It will not be shared with third parties.

Communication
The applicable regulations require that some of the information or notification that we send to you be in written form. By confirming this quote, you agree that most of the communication with us will be electronic, for example by e-mail. For contractual purposes, you agree to use this electronic means of communication and accept that all contracts, notifications, information and other communication that we send you electronically complies with the legal requirements of providing it in writing. 

2-Products & Pricing

 All prices are including VAT, unless specified differently in the offer or contract.  Any offer has a validity of one month, unless explicitly specified otherwise in the offer. The storage and handling of the product once delivered to the store is the responsibility of the buyer. We are not responsible for the conditions in which a product is sold with a period of more than one year on the shelf. Within wholesale orders, all testers are to buy and cannot be sold. All testers are sent without rigid boxes and packaging. Payment is to be made in the presented currency of the quote.  Payments can be made by credit card, wire transfer or using PayPal on perfumeria@coquicoqui.com.The price applicable is that shown on the time the order is signed. All the items and products remain property of COQUI-COQUI SPA SA DE CV until fully paid for (100%), VAT and shipping charges included in the final total, and until the order form is returned with signature of the buyer. Please note we are not responsible for any additional costs regarding banking charge, customs duties of import, which may apply depending on your country.

3-Shipping & Returns

Incoterms: All wholesale orders are shipped out as an exportation. Shipping agreement EXW from Valladolid pick up point with the following address.

The client is fully responsible for the export from the moment of pick up in Valladolid HQ and import of the products in the country of destination. Therefore the buyer shall be solely responsible for all matters in connection with shipping, importing and storing the product, including but not limited to securing any local registration or license, paying any tax, impost or importation duty. All risk of loss and title to products shall transfer to the buyer upon designated carrier of then buyer.   Delivery from headquarters in the Valladolid will be 15-45 working days. Please be alert in the delivery days, it may be that the carrier will contact you to confirm some information at the importation process in order to deliver the package. Within reception of the products, the buyer shall inspect all deliveries of goods within 5 business days of reception, to identify incorrect order fulfilment and patent defects, including without limitation external damage to labels and packages, and other defects which may be reasonably identified or discovered upon ordinary visual inspection, and timely notify the sales Rep of COQUI-COQUI SPA SA DE CV thereof in writing. 

Return Policy:

COQUI-COQUI SPA SA DE CV will gladly accept the return or exchange of defective items only, within 5 days of receipt of purchase, only when listing the product with a photo for the product with the batch number, so we can review traceability  in production. Please send original sales receipt with return shipment.

Return/Exchange packages must be shipped prepaid, preferably Fedex. Your refund will be credited (excl. the initial shipping charges), and a return credit receipt will be sent you. Merchandise on sale are non-retournable. To return or exchange an item, please follow these simple steps: Repack the gift in its original packaging with the original receipt. Include your order number in the following return shipping address below. For your security, please return your items with a registered and insured courier (e.g., FedEx, UPS, USPS Parcel Post) and retain your receipt. COQUI-COQUI SPA SA DE CV is not responsible for any additional shipping costs linked to the return, and does not cover the transport service to return the product to its HQ. The distribution of our goods and products is subject to Mexican law. 

4-Force Majeure 

COQUI-COQUI SPA SA DE CV will not be held responsible or liable for any delay or failure in any performance due to any acts or events beyond our reasonable control (“Force Majeure”). Force Majeure shall include any act, event, failure to exercise, omission or accident including the following: 1. Strike, lockout or other forms of protest. 2. Civil unrest, revolt, invasion or terrorist attack. 3. Fire, explosion, storm, flood, earthquake, collapse or any other natural disaster. 4. Inability to use trains, ships, aircraft, motorized transport or other means of transport, public or private. 5. Inability to receive supply for the creation of the productsdue to delay or strike. 6. Inability to use public or private telecommunication systems. 7. Acts, decrees, legislation, regulations or restrictions of any government or public authority.

5-Marketing                         

The buyer shall not conduct any advertising campaign or utilise any advertising or promotional materials, other than materials provided by COQUI-COQUI SPA SA DE CV, in connection with the sales without an express prior written approval.  The buyer shall not make or issue any press release or other public announcement concerning this collaboration or the relationship created hereby without the express prior written approval of the Sales Rep of COQUI-COQUI SPA SA DE CV in each instance which approval shall not be unreasonable witheld. 

These Terms & Conditions applies for all wholesale transactions at international and national level
